These Terms of Service form a legally binding agreement between you and Mira. By accessing or using the Mira platform in any capacity, you confirm that you have read, understood, and agreed to be bound by these terms in full. If you do not agree, you must discontinue use immediately. If you are using Mira on behalf of an organization, you represent that you have full authority to bind that organization to these terms.
On Watch is a welfare monitoring feature for security personnel on active shifts. Employers who activate On Watch accept the following obligations without exception:
Access to and use of the Mira platform, including the web dashboard, mobile application, and any associated services, is conditioned on your acceptance of these Terms of Service. These terms apply to all users including administrators, staff members, and any individual or entity accessing Mira in any capacity.
Your continued use of Mira following any modification to these terms constitutes your acceptance of the modified terms. If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Mira provides a workforce management platform designed to assist organizations in tracking shifts, verifying attendance, recording incidents, managing schedules, and exporting payroll data. The platform is made available as a software service and is subject to change, interruption, or discontinuation at Mira's discretion with reasonable notice.
Mira does not guarantee that any specific feature will remain available indefinitely. Features described in marketing materials represent current capabilities and may evolve over time.
You must be at least 18 years of age to create an account or use Mira. By using Mira you represent that you meet this requirement. Organizations are responsible for ensuring that any staff member accounts created under their subscription belong to individuals who meet this age requirement.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify Mira immediately upon becoming aware of any unauthorized access or breach of your account security. Mira is not liable for any loss or damage arising from your failure to protect your credentials.
Accounts may not be shared, transferred, or assigned to another individual or organization without Mira's prior written consent. Mira reserves the right to refuse account creation or terminate existing accounts at its sole discretion.
Administrators hold elevated responsibilities under these terms. By activating administrator access, you agree to the following:
Your use of Mira must comply with all applicable laws and must not harm, threaten, or infringe upon the rights of others. The following are expressly prohibited:
Mira reserves the right to investigate suspected violations and to suspend or terminate access without prior notice where a violation is reasonably believed to have occurred.
GPS-based location tracking is a core feature of Mira's clock-in verification system. The following governs its use:
On Watch is available on eligible subscription plans for security operations. Its use is governed by the conditions set out in the notice at the top of this document and the following additional terms:
Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. All fees are stated in US dollars and are non-refundable except where required by applicable law or as otherwise expressly stated by Mira.
Mira reserves the right to modify subscription pricing. Where a price change affects an existing paid subscriber, Mira will provide no less than 30 days written notice before the change takes effect. Continued use of the platform after the effective date of a price change constitutes acceptance of the new pricing.
Failure to maintain a valid payment method may result in service interruption. Mira is not liable for any loss of data or operational disruption resulting from account suspension due to non-payment.
The Mira platform, including its design, software, trademarks, and all associated content, is the exclusive property of Mira or its licensors and is protected by applicable intellectual property laws. Nothing in these terms grants you any right, title, or interest in the Mira platform beyond the limited right to use it in accordance with these terms.
You retain ownership of all data you input into Mira, including employee records, shift data, and incident reports. By submitting data to Mira, you grant Mira a limited, non-exclusive license to process and store that data solely for the purpose of providing the service to you.
Each party agrees to keep confidential any non-public information received from the other party in connection with the use of Mira, and to use such information only for the purpose of using or providing the service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
THE MIRA PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIRA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Mira does not warrant that the platform will be uninterrupted, error-free, or free from security vulnerabilities. No oral or written communication from Mira creates any warranty not expressly stated in these terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MIRA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE MIRA PLATFORM, REGARDLESS OF THE CAUSE OF ACTION AND EVEN IF MIRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In all cases, Mira's total cumulative liability to you for any and all claims arising from or related to these terms or your use of the platform shall not exceed the total fees paid by you to Mira in the twelve-month period immediately preceding the event giving rise to the claim.
Mira is a software platform. It is not a licensed healthcare provider, licensed security contractor, employer of record, or legal advisor. All operational, employment, safety, and legal decisions remain the sole responsibility of the organization using the platform.
You agree to defend, indemnify, and hold harmless Mira and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Mira platform; (b) your violation of these terms; (c) your violation of any applicable law or regulation; (d) any claim by a third party, including your employees, arising from your use of Mira's monitoring features; or (e) any content or data you submit to the platform.
Either party may terminate the service relationship at any time. You may cancel your subscription through your account settings. Mira reserves the right to suspend or terminate your access immediately and without prior notice if it reasonably determines that you have violated these terms, engaged in fraudulent activity, or posed a risk to the platform or other users.
Upon termination, your right to access the platform ceases immediately. Data retention following termination is governed by our Privacy Policy. Provisions of these terms that by their nature should survive termination will do so, including sections on intellectual property, limitation of liability, indemnification, and governing law.
Mira reserves the right to modify, suspend, or discontinue any aspect of the platform at any time. Where a modification materially reduces the functionality available to paid subscribers, Mira will provide reasonable advance notice. Mira is not liable to you or any third party for any modification, suspension, or discontinuation of the service.
These terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree that any dispute arising from or relating to these terms or your use of Mira shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
Before initiating any formal proceeding, both parties agree to attempt to resolve disputes informally by contacting Mira at legal@joinmira.io. Mira will attempt to resolve the matter within 30 days of receiving written notice of the dispute.
These Terms of Service, together with the Privacy Policy and any applicable Business Associate Agreement, constitute the entire agreement between you and Mira with respect to your use of the platform and supersede all prior agreements, representations, and understandings, whether written or oral, relating to the same subject matter.
Mira may update these terms at any time. Where changes are material, Mira will notify account holders by email no less than 14 days before the changes take effect. Non-material changes may take effect immediately upon posting. It is your responsibility to review these terms periodically. Continued use of Mira after updated terms take effect constitutes acceptance of those terms.
